End User License Agreement (EULA) for the Aiwyn Outlook Add-In

This End User License Agreement (“Agreement”) is a legal agreement between you (“End User,” “you,” or “your”) and Aiwyn, Inc., a Delaware corporation with its principal place of business in North Carolina (“Company,” “we,” “us,” or “our”) regarding your use of the Outlook add-in (“Software”), made available through the Microsoft Store.

By installing, accessing, or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree, do not install or use the Software.

1. License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Software solely for your personal or internal business purposes, in accordance with this Agreement, any applicable Microsoft Store terms, and any accompanying documentation provided by Company. This license is contingent upon your continued compliance with all terms of this Agreement.

2. Restrictions

  • Copy, modify, or create derivative works of the Software.
  • Reverse engineer, decompile, or disassemble the Software except (i) to the extent expressly permitted by applicable law notwithstanding this restriction, or (ii) to achieve interoperability as permitted under North Carolina General Statutes § 66-356.
  • Rent, lease, lend, sell, sublicense, or otherwise distribute the Software.
  • Use the Software in any manner that violates applicable laws, regulations, or third-party rights.
  • Reproduce the Software or remove any proprietary notices, ownership labels or marks.

3. Ownership

The Software is licensed, not sold. We retain all rights, title, and interest in and to the Software, including all intellectual property rights.

4. Updates

We may provide updates, enhancements, or bug fixes (“Updates”). Such Updates may be installed automatically with prior notice where feasible. You acknowledge that certain Updates may be required for the continued functionality and security of the Software. This Agreement applies to all Updates unless we provide additional terms.

5. Privacy & Data

Your use of the Software may involve the collection and processing of certain personal or organizational data. Use of such data is governed by our Privacy Policy available at https://www.aiwyn.ai/privacy-policy, which is incorporated by reference into this Agreement. By using the Software, you acknowledge that you have read and agree to our Privacy Policy and consent to the collection, processing, and storage of your data in accordance with such Privacy Policy and applicable data protection laws.

6. Third-Party Services

The Software may interact with Microsoft Outlook or other third-party platforms. We are not responsible for third-party services, their availability, or their compliance with applicable laws.

7. Termination

This Agreement is effective until terminated. We may suspend or terminate your license if you breach any term of this Agreement. Upon termination, you must cease all use and uninstall the Software.

8. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Some jurisdictions do not allow disclaimers of implied warranties, so these limitations may not apply to you.

9. Limitation of Liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, consequential, special, punitive or exemplary damages arising out of or in connection with your use of the Software, even if advised of the possibility of such damages.

Our total aggregate liability under this Agreement will not exceed the greater of (i) the amount you paid for the Software in the twelve (12) months immediately preceding the claim or (ii) $100.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to conflict of laws principles. Any dispute arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the state or federal courts located in North Carolina, and you hereby consent to personal jurisdiction in such courts.

11. Miscellaneous

  • If any provision is held invalid, the remaining provisions will remain in full force.
  • We may update this Agreement from time to time by posting new license terms in the app. Your continued use of the Software after the effective date of any posted changes means you accept the updated Agreement.  If you do not agree to the updated terms, you must discontinue use of the Software.
